TERMS & CONDITIONS

1. Introduction and Scope

These Terms and Conditions ("Terms") govern the relationship between Clever Posters ("we", "us", or "our") and the entity or person purchasing services ("Customer", "you"). By using our services, you agree to be bound by these Terms. Our service includes a dual-track offering:

  • Managed Content Services: Strategic design, motion graphics, and content management.

  • Digital Signage Software: Powered by our third-party partner, EasySignage.

2. Software as a Service (SaaS) Terms

Clever Posters provides a white-labeled version of the EasySignage platform.

  • License Grant: We grant you a non-exclusive, non-transferable right to access the CMS platform solely for your internal business operations.

  • Service Level Agreement (SLA): We aim for a 99.9% uptime metric for the CMS. Service credits may be issued for validated failures as a percentage of your monthly fee, typically capped at 50% for uptime below 95%.

  • Third-Party Pass-Through: You acknowledge that the software component is subject to the upstream terms of EasySignage. We are not liable for outages caused by internet congestion, third-party infrastructure, or force majeure events.

3. Content Design and Intellectual Property (IP)

  • Design Ownership: Unless otherwise agreed in writing, Clever Posters retains all intellectual property rights in the "Bespoke Initial Design" and any monthly "New Designs" provided.

  • Customer License: You are granted a limited, non-sublicensable license to display the content on the screens managed through our service.

  • Usage Restrictions: You may not copy, reproduce, or modify the designs for use on third-party platforms without our express consent.

4. AI Analytics and Data Privacy (GDPR)

  • Design Ownership: Unless otherwise agreed in writing, Clever Posters retains all intellectual property rights in the "Bespoke Initial Design" and any monthly "New Designs" provided.

  • Customer License: You are granted a limited, non-sublicensable license to display the content on the screens managed through our service.

  • Usage Restrictions: You may not copy, reproduce, or modify the designs for use on third-party platforms without our express consent.

5. Fees, Billing, and Renewals

  • Tiered Pricing: Fees are based on your selected Tier (1–5) and are billed annually in advance to secure the discounted rate.

  • One-Time Costs: Tier 4 requires an Initial Hardware Cost and a separate AI Setup Fee (£95/screen).

  • Auto-Renewal: For B2B contracts, subscriptions auto-renew for successive 12-month terms unless cancelled 30 days prior to the renewal date.

6. Limitation of Liability

  • Caps on Liability: To the maximum extent permitted by UK law, our total liability for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim.

  • Excluded Losses: We are not liable for loss of profits, indirect, or consequential damages.

  • Unlimitable Liability: Nothing in these terms excludes liability for death, personal injury caused by negligence, or fraud.

7. Termination and Suspension

  • Right to Suspend: We reserve the right to suspend access for non-payment or breach of acceptable use policies.

  • Termination for Convenience: Customers on annual plans may terminate at the end of their term. No partial-month refunds are provided.

8. Governing Law and Jurisdiction

  • These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
